These Terms of Service ("Terms") govern your use of the KodaAI platform and related services ("Service") provided by Koda Solutions, LLC ("Koda Solutions," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account or using the Service, you confirm that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent. If you do not agree to these Terms, do not use the Service.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update your information as needed.

5. Subscription and Billing

Free Trial: New accounts may be eligible for a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must select a paid plan to continue using the Service.

Paid Plans: Subscription fees are billed monthly. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days' notice.

Cancellation: You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Usage Limits: Each plan includes a monthly call processing limit. If you exceed your plan's limit, additional calls may not be processed until the next billing cycle or until you upgrade your plan.

The Service uses artificial intelligence to analyze call transcripts. While we strive for accuracy, AI-generated data extraction may contain errors. You are responsible for reviewing and verifying all data created in your connected accounts. Koda Solutions is not liable for any inaccuracies in AI-processed data.

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

9. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Koda Solutions and protected by intellectual property laws. You retain ownership of your data. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KODA SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Koda Solutions and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Greenville County, South Carolina.
